## MARKETING & COMMUNICATIONS COMMITTEE CHARTER

## I. PURPOSE

The Marketing & Communications Committee (the “Committee”) is a standing committee of the Board of Directors (the “Board”) of the Silicon Valley Gay Men’s Chorus (“SVGMC”). The primary purpose of the Committee is to provide oversight and strategic direction for the organization’s public image, brand consistency, and revenue generation through ticket sales and audience engagement. The Committee assists the Board in ensuring that SVGMC effectively communicates its mission to the community, attracts diverse audiences, and maintains a professional digital and print presence.

## II. COMPOSITION

The Committee shall consist of at least three (3) members. The Chair of the Committee must be a current member of the Board of Directors. The Committee may include non-Board members (such as singing members of the chorus or community volunteers with specialized expertise) to serve as “Project Leads” or advisors. All members shall serve at the pleasure of the Board for a term of one (1) year, which may be renewed.

The Committee has the authority to form and delegate tasks to sub-committees as needed.

## III. MEETINGS

The Committee shall meet at least monthly, or more frequently as needed to fulfill its responsibilities. Meetings may be held in person or via electronic platform. A majority of the Committee members shall constitute a quorum.

The Committee Chair shall establish the agenda and ensure minutes are kept for all proceedings. The Committee shall submit a report of its activities and recommendations to the Board prior to each regular Board meeting.

## IV. DUTIES AND RESPONSIBILITIES

The Committee’s primary duties and responsibilities include:

### 1. Strategic Marketing & Brand Management

* Develop and oversee an annual marketing plan aligned with the concert season and fiscal year.
* Maintain and enforce brand guidelines (logos, fonts, tone of voice) to ensure consistency across all platforms.
* Oversee the organization’s website, ensuring content is current, accessible, and optimized for ticket sales.

### 2. Audience Development & Ticket Sales

* Establish and monitor ticket sales targets for each production.
* Oversee the ticketing platform and box office operations.
* Develop pricing strategies, discount programs, and group sales outreach.

### 3. Digital & Social Media Campaigns

* Manage the organic social media calendar (e.g., Facebook, Instagram, LinkedIn).
* Oversee paid digital advertising campaigns and monitor Return on Investment (ROI).
* Supervise the production of email newsletters and marketing-related member communications.

### 4. Public Relations & Community Outreach

* Oversee the creation and distribution of press releases and media kits.
* Identify opportunities for community partnerships and promotional appearances.
* Manage the production and distribution of print materials, including posters, postcards, and concert programs.

### 5. Budgeting & Compliance

* Prepare an annual marketing budget for Board approval.
* Monitor marketing expenditures to ensure compliance with the approved budget.
* Ensure all promotional activities comply with applicable laws and nonprofit best practices.

## V. AUTHORITY

The Committee is an advisory body to the Board and does not have the authority to bind the corporation to any contract or expenditure outside of the Board-approved annual marketing budget without express Board approval.

## VI. ANNUAL REVIEW

The Committee shall review this Charter annually and recommend any changes to the Board for approval.
