# 4.12. Organizational Meeting ### 4.12. Organizational Meeting The Board of Directors shall hold a meeting within 120 days after the close of the fiscal year of the organization to elect officers and transact such other business as may come before the meeting. Notice of the organizational meeting shall be given in the manner set forth in 4.14 of these Bylaws or waived as set forth in 4.16 below. Meetings of the Board of Directors shall be presided over by the President of the Board of Directors, or, if no such person has been so designated, or in their absence, the Vice President of the organization.
