### 4.16. Waiver of Notice or Consent

The transactions at any meeting of the Board of Directors, however called and noticed and wherever held, shall be as valid as if held after proper call and notice if a quorum is present and, either before or after the meeting, each absent director signs either a written waiver of notice, a consent to holding the meeting, or an approval of its minutes or the actions taken thereat.

These waivers, consents, and approvals shall be filed with the organization's records or made a part of the minutes of the meeting. Neither the business to be transacted at nor the purpose of any regular or special meeting need be specified in the notice or waiver of notice of the meeting. Notice of a meeting need not be given to any director who signs a waiver of notice, either before or after the meeting, or who attends the meeting without protesting prior thereto or at its commencement the lack of notice of said meeting.
