### 4.19. Telephone and Electronic Participation

Any meeting may be held by conference telephone, video conference, or similar communication equipment, as long as all directors participating in the meeting can hear one another and, in the case of video conferences, have some form of access to all materials screen-shared or otherwise presented at such conferences. Such participation constitutes presence in person at such a meeting.
