### 4.20. Action Without Meeting

The Board of Directors may take any action without a meeting that may be required or permitted to be taken by the Board at a meeting if all members of the Board individually or collectively consent in writing to the action. Written consent may include, but is not limited to, electronic mail, discussion threads posted on the organization's website, and/or voting polls established via the organization's website.

If any action is ratified via writing and without meeting, the written consent or consents shall be filed in or with the minutes of the proceedings of the next Board meeting. Such action by unanimous or majority written consent shall have the same effect as a unanimous or majority vote of the directors.
