# 4.21. Committees of the Board ### 4.21. Committees of the Board The Board of Directors may, by resolution adopted by a majority of the directors, designate one or more committees, each consisting of one or more directors, to serve at the pleasure of the Board and with such authority and organization as the Board may from time to time determine. The Board may designate one or more directors as alternate members of any committee who may replace any absent member at any meeting of the committee. The Board shall designate a chair for each committee who shall have the authority to call any committee meeting other than a meeting set by the Board. Committees shall make recommendations to the Board of Directors.
