### 4.8. Removal of Directors

A director may be removed from office by the Board of Directors if they:

* are declared of unsound mind by an order of a court;
* are convicted of a felony;
* miss or fail to attend more than 3 board meetings in one calendar year; or
* are approved to be removed by a majority of the directors then in office.

A director may also be removed from office by the Superior Court of the county in which the Principal Office is located at the suit of a majority of other directors. No reduction of the authorized number of directors shall have the effect of removing any director prior to the expiration of their term of office.
