### 5.7. Vice President

If the President is absent or is unable or refuses to act, the Vice President shall perform all the duties of the President and, when so acting, shall have all the powers of, and be subject to all the restrictions of, the President. The Vice President shall have any other powers and perform any other duties that are prescribed for them by the Board or the Bylaws or the President.
